Ashburn’s Quoin Pharmaceuticals Secures Up to $50 Million to Fund Its Rare Disease Pipeline Into 2029

Quoin Pharmaceuticals Ltd., the Ashburn, Virginia-based specialty pharmaceutical company, announced on August 28, 2026 a private placement financing that could raise up to $50.0 million in gross proceeds, expected to close on or about August 31, 2026 subject to customary closing conditions. The company said the funding is intended to advance its rare and orphan disease pipeline, with aggregate net proceeds sufficient to fund the company into the second half of 2029 if the accompanying warrants are fully exercised.

How the $50 Million Deal Is Structured

The financing combines $30.8 million in initial upfront funding with up to another $19.2 million tied to potential warrant exercises. It consists of 6,305,300 American Depositary Shares (or pre-funded warrants in lieu of ADSs) alongside 3,152,650 accompanying ordinary warrants, priced together at $4.88 per ADS-and-warrant unit. The ordinary warrants carry a $6.10 exercise price and expire after five years from closing, or 30 days after Quoin announces that the primary endpoint in its CL-QRX003-004 trial has been met, whichever comes first. Participating investors include Sirenia Capital Management, Sphera Healthcare, AIGH Capital Management, Nantahala Capital, StemPoint Capital, and Stonepine Capital Management, among others, as well as members of Quoin’s management team and Board of Directors. Leerink Partners is acting as lead placement agent, with BTIG and Lake Street Capital Markets serving as co-placement agents.

What the Money Is For

Quoin says the upfront net proceeds will be used for general corporate purposes, which may include operating expenses, research and development, including completion of clinical development of QRX003 for Netherton Syndrome, working capital, future acquisitions, and general capital expenditures. The company’s pipeline centers on two key platform products — QRX003, which is in clinical development for Netherton Syndrome and other rare skin disorders, and QRX009, a topical rapamycin platform being advanced for conditions including Pachyonychia Congenita, Gorlin Syndrome, and Tuberous Sclerosis Complex. Quoin says the two platforms collectively have the potential to target a broad number of rare and orphan indications.

The warrant structure ties the expiration of the securities to the company’s public announcement regarding the primary endpoint of the QRX003 trial. Separately, Quoin issued a second release on August 28 reporting positive interim data from CL-QRX003-004, with the interim analysis meeting its pre-specified primary endpoint with statistical significance. Quoin expects to complete recruitment of the 20-participant study by the end of 2026 and report topline data in the second quarter of 2027.
