Agilent to Acquire Philadelphia’s Proscia in Deal Worth Up to $270 Million, Expanding AI-Enabled Digital Pathology

Agilent Technologies, announced on October 13, 2026 that it has entered into a definitive agreement to acquire Proscia, a Philadelphia-based provider of digital pathology software for clinical and life sciences customers. The all-cash transaction is valued at $240 million at closing, with up to an additional $30 million based on achieving future performance milestones.

“Digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application across biopharmaceutical research, clinical development, and diagnostics, and our acquisition of Proscia meaningfully expands our presence in this fast-growing market,” said Agilent President and CEO Padraig McDonnell. “The acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation in a workflow that supports biomarker research through routine clinical use. With Proscia’s leading platform and talented team, we will be better equipped to help laboratories and biopharma customers manage and derive insights from pathology data.”

A Central Operating Layer for Digital Pathology

Proscia’s software platform serves as a central operating layer for digital pathology, connecting slide scanners, laboratory information systems, image-analysis applications, AI tools, people, and data so customers can manage images, data, and workflows in one environment. The company serves more than 4,000 laboratories, hospitals, and clinics, as well as 16 of the top 20 pharmaceutical companies, with trailing 12-month revenue exceeding $18 million. Its platform holds FDA 510(k) clearance for primary diagnosis.

“This agreement with Agilent marks an exciting milestone for Proscia and reflects the strength of the platform our team has built,” said David West, Co-Founder and CEO of Proscia. “Agilent shares our vision for advancing pathology through open, digital, and AI-enabled solutions. Together, we can accelerate innovation while continuing to provide customers with the flexibility they need across clinical and life-sciences workflows. I am grateful to the entire Proscia team, whose dedication made this milestone possible, and look forward to building on our work as part of Agilent.”

From Partners to One Company

The acquisition builds on a multi-year distribution agreement Agilent and Proscia signed in September 2022 to offer a comprehensive digital diagnostic pathology system. It also follows Agilent’s recently completed transaction with Biocare Medical. Agilent says the deal will:

  • Strengthen its pathology portfolio: Agilent’s pathology instruments and reagents will be paired with Proscia’s vendor-agnostic digital pathology platform and established customer base.
  • Enhance companion diagnostics and drug discovery offerings: Proscia’s growing repository of real-world data offers AI-enabled synergies with Agilent’s companion diagnostics business, adding value for biopharma partners and clinical and translational research customers.
  • Support long-term growth: Proscia’s recurring-revenue software model adds a high-growth, high-margin business to Agilent’s pathology portfolio.

The transaction is subject to customary closing conditions and is expected to close early in Agilent’s fiscal year 2027. Proscia will then become part of Agilent’s Life Sciences and Diagnostics Markets Group.
