Elutia Completes SimpliDerm Sale on Schedule, Adding $8 Million to Fund NXT-41x Through Launch

Elutia, the Gaithersburg, Maryland-based drug-eluting biomatrix company, announced it has completed the sale of its SimpliDerm® human acellular dermal matrix business to Cellution Biologics Inc. for up to $11 million in total consideration, $8 million paid at closing, subject to customary adjustments for inventory and transaction expenses, plus contingent milestone payments of up to $3 million over the next 18 months. The company said the deal closed on the schedule it had originally laid out and strengthened its balance sheet with non-dilutive capital as it narrows its focus toward NXT-41x, its lead drug-eluting biomatrix candidate. Dr. Sonali Fonseca, Elutia’s Vice President of Emerging Business, framed the closing as consistent with the company’s broader approach: “Completing this divestiture reflects the discipline and commitment the Elutia team brings to everything we do. It is another important step forward in our mission to Humanize Medicine by providing additional funding while sharpening our focus on bringing NXT-41x to patients so they can thrive without compromise.”

What SimpliDerm Was and Who Bought It

SimpliDerm is a hydrated human acellular dermal matrix used for soft tissue repair and reconstruction, sold in various configurations for different surgical needs. The buyer, Cellution Biologics Inc., is a biologics company focused on developing and commercializing human tissue-based products across wound care, ocular repair, and reconstructive surgery. In its own matching announcement of the deal’s completion, Cellution Biologics President Shiva Arjunon described the acquisition as a strategic expansion: “The acquisition of SimpliDerm marks an important step in Cellution Biologics’ strategy to expand our human tissue-based portfolio and strengthen our capabilities across surgical markets.”

What the Proceeds Are Funding

Elutia says this closing, combined with its previously announced funding sources, gives the company sufficient capital to support operations through the first full year of NXT-41x’s commercial launch, which it’s targeting for 2028. NXT-41x is an antibiotic-eluting biomatrix designed for plastic and reconstructive surgery, a category of procedures the company says carries post-operative infection rates of 15% to 20%. The product is designed to provide soft-tissue reinforcement while delivering antibiotics locally at the surgical site to inhibit bacterial colonization. Elutia expects FDA clearance for NXT-41x in the first half of 2027, and it’s initially targeting the roughly $1.5 billion U.S. plastic and reconstructive surgery market before eventually expanding into general and oncologic surgery applications.

A Gaithersburg Company Narrowing Its Focus

Elutia remains headquartered in Gaithersburg, Maryland, and this transaction is a clear example of the company shedding a non-core commercial business in order to concentrate its resources on a single drug-eluting product still working through regulatory clearance. With SimpliDerm now off its books and this piece of financing secured on schedule, the next milestones that matter are regulatory rather than financial: FDA clearance for NXT-41x in the first half of 2027, followed by the commercial launch the company has now told investors it’s funded to support.
